1. About Physio PS

Physio PS develops and provides technology designed to measure and report physiological information related to autonomic nervous system function.

Physio PS products and services are intended primarily for use by qualified healthcare professionals and organizations in accordance with applicable laws, regulations, product labeling, instructions for use, and professional standards.

Physio PS is not a healthcare provider and does not provide medical diagnosis, treatment, or medical advice.

2. Medical Disclaimer

Information provided through the Physio PS website, software, educational materials, reports, demonstrations, or other communications is intended for educational and informational purposes only.

Nothing provided by Physio PS should be interpreted as:

Separate purchase orders, quotations, equipment agreements, licenses, or contracts may contain additional terms. Where a signed agreement conflicts with these Terms, the signed agreement will control to the extent of the conflict.

8. Equipment, Software, and Updates

Physio PS equipment and associated software must be used in accordance with applicable instructions, training materials, and product documentation.

You agree not to:

  • Reverse engineer the equipment or software;

  • Decompile or disassemble software;

  • Circumvent security controls;

  • Modify the device or software without authorization;

  • Remove proprietary notices; or

  • Use unauthorized accessories, modifications, or software where doing so could affect safety, performance, or regulatory compliance.

Physio PS may provide software updates, patches, improvements, or modifications when appropriate.

9. Clinical Data and Patient Information

Healthcare organizations and professionals remain responsible for information entered into or generated through their use of Physio PS technology, including patient information.

You agree to:

  • Obtain any required patient authorizations or consents;

  • Use appropriate privacy and security safeguards;

  • Comply with HIPAA and other applicable privacy laws when applicable;

  • Limit access to authorized personnel;

  • Use data only for lawful and authorized purposes; and

  • Maintain appropriate medical records independently of Physio PS systems where required.

Where Physio PS acts as a Business Associate under HIPAA, the parties may enter into a separate Business Associate Agreement ("BAA"). The BAA will govern the parties' respective obligations concerning Protected Health Information to the extent required by law.

10. Educational and Scientific Content

Physio PS may publish articles, research summaries, white papers, webinars, videos, clinical resources, case discussions, and other educational materials.

These materials are provided for educational purposes and may not represent the views of every healthcare professional or researcher.

Scientific and medical knowledge evolves. Physio PS does not guarantee that educational materials reflect the most recent research at the time they are viewed.

Healthcare professionals remain responsible for independently evaluating scientific evidence and exercising professional judgment.

11. Intellectual Property

All content and materials provided by Physio PS, including:

  • Logos and trademarks;

  • Website designs;

  • Text and graphics;

  • Images and videos;

  • Software;

  • Reports and documentation;

  • Educational materials;

  • Product designs;

  • Data presentations; and

  • Other proprietary materials

are owned by or licensed to Physio PS and are protected by applicable intellectual property laws.

Except as expressly permitted in writing, you may not reproduce, modify, distribute, sell, publish, or create derivative works from Physio PS intellectual property.

Where permitted by law, Physio PS's aggregate liability arising from a particular transaction or service will not exceed the amount paid to Physio PS for the applicable product or service giving rise to the claim.

Healthcare professionals must not represent that Physio PS technology is approved, cleared, indicated, or authorized for a particular use unless that representation is supported by applicable regulatory documentation.

19. Geographic Availability

Physio PS products and services may not be available in every country or jurisdiction.

Physio PS makes no representation that its products, website, or services are appropriate or legally available for use in every location.

20. Termination

Physio PS may suspend or terminate your access to its website, software, accounts, or services if:

  • Termination is otherwise permitted under an applicable agreement.

These Terms will be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles, unless applicable law requires otherwise.

Any dispute that cannot be resolved informally will be handled in a court of competent jurisdiction located in New Hampshire, New Jersey, Georgia, or Pennsylvania unless the parties have agreed otherwise in a written contract.

Physio PS may modify these Terms from time to time.

When material changes are made, we may update the effective date and provide additional notice when appropriate.

Your continued use of the website or services after revised Terms become effective constitutes acceptance of the revised Terms.

23. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

24. Entire Agreement

These Terms, together with any applicable Privacy Policy, purchase agreement, license agreement, Business Associate Agreement, product warranty, or other written agreement between you and Physio PS, constitute the applicable agreement governing your use of the relevant products and services.
